1. Nature of the Site

The Site is an informational publication describing the Firm's identity and the organizational scope of its advisory sounding chart. The Site is not, and must not be interpreted as:

• A proposal, statement of work, engagement letter, or consulting deliverable;
• A rate card, fee schedule, or pricing commitment;
• Professional advice of any kind — legal, financial, actuarial, engineering, or otherwise;
• A representation that the Firm holds any professional license;
• An offer to enter into any consulting engagement or service relationship.

Sounding numbers (S-01 through S-76), zone labels, chart graphics, and all Site content describe organizational classification only. They do not denote open engagements, available consultants, quoted fees, or deliverable commitments.

2. No Advice — No Deliverables

Nothing on this Site constitutes professional advice, a consulting proposal, or a deliverable. The hydrographic chart motif is a design frame; it does not publish methodologies, findings, or recommendations. Any actual engagement with the Firm occurs only under separately executed agreements, not through this Site. Reading this Site does not create a consultant-client relationship.

3. Classification Boundaries

The chart follows industry classification conventions, including express exclusions that control over any shorthand elsewhere on the Site: S-04 covers financial management consulting but expressly excludes investment advice; S-12 covers actuarial consulting but expressly excludes insurance actuarial services. Descriptive consulting categories do not imply licensure in law, medicine, engineering, accounting, or any regulated profession.

4. Accuracy of Information

The Firm works to keep the Site accurate, but content is provided "as is" and "as available." The Firm does not warrant that any charted sounding describes a currently available service, methodology, or consultant, and may revise chart content at any time.

5. Intellectual Property

All content on the Site — text, graphics, chart layouts, illustrations, logos, and code — is the property of the Firm or its licensors and is protected by U.S. copyright, trademark, and other intellectual-property laws. You may view and print pages for personal, non-commercial reference. You may not reproduce, republish, frame, scrape, or commercially exploit any Site content without the Firm's prior written consent.

6. Acceptable Use

You agree not to:

• Use the Site for any unlawful purpose or in violation of applicable law;
• Submit false, misleading, or impersonating inquiries;
• Transmit viruses, malware, or disruptive code, or attempt unauthorized access to any server or system;
• Scrape, crawl, or bulk-download Site content by automated means;
• Submit confidential business records, engagement documents, or third-party personal data;
• Use the Site's branding to misrepresent affiliation with the Firm.

The Firm may restrict or terminate access to the Site at its discretion for violations.

7. Communications

Communications sent to the Firm through the Site's listed contact channels are not confidential and do not create any consulting, advisory, or professional relationship. Do not send engagement letters, statements of work, or confidential records through the Site. Correspondence records are handled per the Privacy Policy.

8. Third-Party Links

If the Site links to third-party websites, those links are provided for convenience. The Firm does not control, endorse, or assume responsibility for third-party content, policies, or practices. Access them at your own risk.

9. Disclaimer of Warranties

THE SITE AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. THE FIRM DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF HARMFUL COMPONENTS, OR THAT ANY CONTENT IS COMPLETE, CURRENT, OR SUITABLE FOR ANY PURPOSE.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL MVD CONSULTING LLC, ITS MEMBERS, MANAGERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES — INCLUDING LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION — ARISING FROM OR RELATED TO YOUR USE OF, OR INABILITY TO USE, THE SITE, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THE FIRM'S TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THE SITE SHALL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US$100). THIS LIMITATION APPLIES ONLY TO THE SITE AND DOES NOT LIMIT LIABILITY UNDER ANY SEPARATELY EXECUTED ENGAGEMENT AGREEMENT.

11. Indemnification

You agree to indemnify, defend, and hold harmless the Firm and its personnel from any claims, damages, losses, and expenses (including reasonable attorneys' fees) arising from your violation of these Terms, your misuse of the Site, or your submission of unlawful, infringing, or confidential information through the Site.

12. Governing Law and Venue

These Terms are governed by the laws of the State of Ohio, without regard to conflict-of-laws principles. Any dispute arising from or relating to the Site or these Terms shall be brought exclusively in the state or federal courts located in or serving Cuyahoga County, Ohio, and you consent to the personal jurisdiction and venue of those courts.

13. Severability and Waiver

If any provision of these Terms is held invalid or unenforceable, the remaining provisions remain in full force. The Firm's failure to enforce any right or provision is not a waiver of that right or provision.

14. Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and the Firm regarding the Site and supersede any prior understandings about the Site. They do not modify any separately executed agreement between you and the Firm.

15. Changes to the Terms

The Firm may update these Terms at any time. The current version will be posted at www.kgwtran.shop/terms-of-service with the revision date at the top. Continued use of the Site after changes take effect constitutes acceptance of the revised Terms.
